Indirect investors, information rights and voting

Part 9 of the Companies Act 2006 recognised in statute, for the first time, certain rights for indirect investors – a result of increasing recognition of the number of investors holding shares through intermediaries. Thousands of investors sit below these intermediaries with no direct relationship with the company in which they have invested.

This guidance aims to:

  • explain the new environment
  • offers guidance and best practice recommendations to indirect investors, registered shareholders and companies/their registrars.
