Disclosing proxy votes

Following the Combined Code in 1998, it has become common practice for companies to disclose proxy instructions lodged ‘for’ and ‘against’ each resolution being considered on a show of hands at a General Meeting.

Reading out the figures of such votes satisfies the specific wording of the Combined Code, but ICSA believes that only publication meets the underlying intention. This guidance note gives advice on the best way to disclose proxy votes.
