Governance and Compliance Manager

Purpose of the team:

The Governance, Legal and Compliance (GLC) department ensures excellent charity governance of Teach First by its board of trustees; advises the Chair and trustees on their responsibilities; carries out charity and company law  compliance; and minimises legal risk to the charity by advising on issues and disputes. It is responsible for all liaison with our core regulators: The Charity Commission, Companies House and the Information Commissioner (the ICO).

Purpose of the role:

The role delivers across all areas of governance, charitable law and practice, and external compliance, including annual reporting to the Charity Commission and to Companies’ House. The Governance and Compliance Manager  also acts as the charity’s data protection officer, under the overall accountability of the Company Secretary. At this level you will:
  • Report to the Company Secretary (Director of GLC)
  • Deputise for the Company Secretary on governance and company secretarial matters as required
  • Manage the day-to-day business of the charity’s governance/company secretarial function with support from the part-time Team Coordinator

Your responsibilities will include:
  • Board, committee and trustee management including supporting effective relationships and communications with and between the chair, trustees and other senior colleagues; ensuring endto-end secretariat services for the Board of Trustees, its committees and Group subsidiary boards;
  • facilitating and advising on the production of Board and committee papers; supporting the Company Secretary in the appointment and induction of new trustees, as required
  • Working closely with the Finance department to manage the production and submission of annual reports and Group statutory filings in addition to managing relationships with external auditors
  • Acting as the first point of contact for data protection queries and manging internal data protection training; ensuring internal compliance and overseeing the implementation of the GDPR plan which includes facilitating a working group
  • Supporting the department’s wider functions and services by providing input into funding applications, maintaining online content and communications ensuring political neutrality, monitoring finance forecasts and variances and raising any concerns with the Company Secretary
  • Proactively staying up to date on developments in charity governance and compliance and monitoring charitable law updates, identifying areas for improvement in the governance framework and making recommendations which reflect best practice, when requested
The critical responsibilities of this role are described above. They may be subject to reasonable changes from time to time in line with business need. As part of the role you may be required to travel to other UK locations from time to time. You will may also be required to attend away days/retreats and the annual “Offsite” event which is mandatory for all employees.

Person Specification

Essential skills and experience:
  • Governance and/or company secretarial experience including managing services for boards and committees, working at a senior level
  • Proficient knowledge of data protection, including the incoming GDPR
  • Proven ability to manage relationships with senior internal and external stakeholders
  • Ability to manage complex logistics e.g. governance meeting schedules

Desirable skills and experience:
  • An interest and basic understanding of charity governance
  • Knowledge and/or experience in project management
  • Data Protection qualification/certificate
