Position:     Vice President – Company Secretarial
Location:     Dublin, Ireland

About the Role

The Vice President of Company Secretarial will report to a Senior Vice President and will be responsible for providing company secretarial services to a portfolio of strategic clients.

Primary responsibilities include:

  • Organising and attending board meetings, preparing detailed minutes of board meetings to a very high standard and arranging the execution of documentation;
  • Advise the team on complex business matters;
  • Involvement in directing ad hoc projects and may represent Maples Group at various industry association and marketing events as well as support the Senior Vice President  in managing the affairs of the company secretarial group including coordinating group meetings and managing staff;
  • Assist with new business documentation and monitoring the team’s portfolios to ensure compliance;
  • Deliver a high level of client service while ensuring that each client relationship is compliant with internal policies and procedures;
  • Reviewing corporate requests and transaction documents;
  • Assisting with KYC compliance; and
  • Ongoing liaison with lawyers, investment managers and directors of hedge funds and managing team professionals.

What You Bring

In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following:

  • A University graduate with an excellent academic background or have at least 5 years’ experience in a similar role;
  • Previous minute taking experience is essential and knowledge of local regulatory governance will be an advantage;
  • Prior experience coaching team members and proven leadership skills are required for this role;
  • A legal background or company secretarial qualification is essential.


Position:     Assistant Vice President – Company Secretarial
Location:     Dublin, Ireland

About the Role

The Assistant Vice President reports to Vice President and will be responsible for the administration and management of a varied portfolio of clients where Maples Fiduciary Services is providing company secretarial services.

Primary responsibilities include:  

  • Act as a main point of contact for client companies and their board of directors and liaise with lawyers, clients and service providers, investment managers and fund administrators;
  • Coordinate, schedule and attend Board, shareholder and committee meetings, ensure the efficient collation, preparation of distribution of Board papers, draft minutes and resolutions;
  • Coordinate statutory and regulatory filings, maintain statutory books and records
  • Act as a channel of communication for Directors on all matters of company law and corporate governance; and
  • Be the key relationship lead for their clients and be responsible for the supervision, mentoring and training of junior staff.

What You Bring

In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following: 

  • Will be required to work on his/her own initiative, have excellent organisation and planning skills, be methodical, with strong attention to detail, have exceptional written and oral communication skills and the ability to deliver on tight timescales;
  • Preferably be ICSA qualified, have a 3rd  level qualification in a related field, and a minimum of 5 years work experience in a similar role for the provision of company secretarial services. Previous experience within the funds industry is preferable; and
  • A corporate secretarial qualification is desirable but not essential for this position. However, if not currently held by an otherwise suitable candidate, a commitment to undertake a course immediately to gain such qualification will be facilitated.


Position:     Supervisor – Corporate Secretarial
Location:     Dublin, Ireland

About the Role

The Corporate Secretarial Supervisor within the Corporate Secretarial team reports to Assistant Vice Presidents (“AVPs”) and Vice Presidents (“VPs”). Primary responsibilities include: 

  • Administration of their portfolio including but not limited to: being assigned CSP responsible for a portfolio of varied clients; acting as the primary contact on client relationships and fulfilling ancillary secretarial duties as appropriate; sending out notices and invitations, drafting agendas, coordinating, scheduling and attending meetings, preparing and distributing board and committee packs and taking minutes;
  • Ensuring that the statutory registers are being maintained and are up to date;
  • Arranging statutory and regulatory filings and client companies are in compliance with statutory obligations;
  • Acting as a channel of communication for the directors on matters of company law and corporate governance;
  • Assisting the AVPs and VPs with the administration of a wider Maples Group Corporate Secretarial portfolio of clients which includes but is not limited to: new business enquiries, collating information, due diligence information and assisting with the coordinating, scheduling and attending board and shareholder meetings; while acting as a secondary point of contact for the client companies and their board of directors in the absence of the VPs/ AVPs;
  • He/she will demonstrate a commitment to acquiring new capabilities, constantly striving to improve performance;
  • He/she will proactively seek out and take advantage of training and development opportunities while assisting with mentoring junior team members and supporting their integration into both Maples Group and the day to day client service delivery; and
  • Ensuring the effective management of CSAs and SAs including motivating, mentoring, encouraging the office culture, gaining commitment, exercising leadership and effective delegation.

What You Bring

In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following: 

  • The successful candidate must have a minimum of 3-5 years’ relevant work experience in a corporate company secretarial role; and
  • Experience gained within an Irish legal, accountancy or corporate administration firm would be preferred.


Position:     Company Secretary - Senior Administrator – Investment Funds
Location:     Dublin, Ireland

About the Role

The Senior Administrator reports to a senior team member and supports the Corporate Secretary department. Its tactical responsibilities feed one larger objective: will be responsible for assisting with the administration and management of a portfolio of clients where company secretarial services are provided. Primary responsibilities include:  

  • You will act as a main point of contact for client companies, their boards of directors and liaise with lawyers;
  • You will coordinate, schedule and attend Board, Committee and Shareholder meetings, draft agendas, minutes and resolutions;
  • You will coordinate all statutory and regulatory filings, maintain statutory books and records, coordinate document execution, and act as a channel of communication for clients and directors on all matters of company law and corporate governance.

What You Bring

In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following: 

  • Will be required to work off his/her own initiative, demonstrate excellent organisational skills, be methodical, with strong attention to detail, have the ability to deliver on tight timescales and have excellent written and verbal communication skills;
  • Must have a Third level qualification in a related field, and a minimum of 2-3 years’ relevant work experience ideally in an investment funds company secretarial role;
  • This position would also be suitable to those working within the investment funds industry seeking to commence their career within the investment funds company secretarial sector;
  • A corporate secretarial qualification from the ICSA is preferable for this position, but is not a prerequisite.
