Assistant Company Secretary - EMEA

The Role

We have an exciting opportunity for an Assistant Company Secretary to join Christie’s well-regarded Secretariat team.  The team, which comprises two Assistant Company Secretaries and an experienced Corporate lawyer, forms part of Christie’s global Legal and Compliance function.  This position will work with the other Secretariat team members to handle all secretariat matters for Christie’s UK-based parent company and its EMEA business and to support the Corporate lawyer and our data governance team in managing Christie’s data privacy programme.

The role will suit someone who is looking for varied experience in a fast-paced environment.  To be considered, you must be ICSA qualified or part qualified. Experience and/or a qualification in data privacy matters and/or another compliance area would be advantageous.

Principal responsibilities

Secretariat

  • Providing technical corporate and governance advice to stakeholders including directors and committee members and Christie’s finance team

  • Taking minutes of board and committee meetings and drafting and distributing written resolutions and governance paperwork

  • Supporting the production of the group Annual Report and Accounts and UK subsidiaries’ Accounts

  • Managing the statutory compliance of group subsidiaries in the UK, including Companies House filings and maintaining of the corporate database (using GEMS) 

  • Ensuring EMEA companies comply with local filing requirements

  • Maintaining Secretariat data and documents

  • Supporting Corporate Counsel and Global Head of Compliance with Governance and compliance project work across the group

  • Developing and rolling out best practice training to Christie’s directors and committee members and the legal team

  • Keeping up to date with company law and corporate governance developments and best practice and implementing them as appropriate.

  • Working with the legal team to ensure all licenses and registrations required by Christie’s to run its business are maintained

  • Responding to Know Your Customer (KYC) enquiries regarding the group and its directors and shareholders

  • Developing strong relationships with internal stakeholders and external counsel and service providers 

  • Supporting the Corporate Counsel in managing external legal and other professional costs.

Data Privacy

  • Supporting Corporate Counsel and the client data governance team with the management of Christie’s data privacy programme, including by handling access requests, maintaining registers and logs and assisting with the preparing and roll-out of policies, materials and training.

Required qualifications/experience

  • ICSA full or part- qualified with excellent technical skills

  • Experienced within a Company Secretary environment preferably within an international organisation

  • Experience and/or a qualification in data privacy and other compliance areas advantageous

  • Languages desirable but not essential
