Our client, one of the largest client services providers in the market, is looking for a Company Secretary to join its growing company secretarial team based in Belfast. You will be responsible for upholding company secretarial duties to a variety of existing and prospective clients, ensuring compliance and corporate governance codes, principles of best practice and company secretarial procedures as well as working with relevant listing authorities. The role will also involve undertaking work on behalf of other operating companies, particularly in respect of Companies House filings and stock exchange announcements. Key Role and Responsibilities

  • Attend, prepare agendas and produce minutes for board and committee meetings
  • Maintain company records, share and registrar functions and system maintenance
  • Support the corporate entities and LP’s across a range of jurisdictions
  • Make stock exchange announcements as necessary
  • To ensure the timely dispatch and collation of proxies where the client entity does not use an external registrar and liaise with the relevant administration team to ensure a quorum is obtained
  • Liaise with external Registrars in regards to the collation of proxies for relevant client entities
  • Funds meet their consistent statutory and regulatory requirements/obligations
  • Ensure statutory filings and payment of relevant fees with timeframes
  • Help in co-ordinating company secretarial factors in new client take-on procedures
  • Make sure good corporate governance principles are followed amongst all company secretarial matters

Experience and Qualifications

  • c2-5 years prior company secretarial experience
  • Fully/part ICSA qualfied is highly desireable
  • Demonstrable minute taking ability
  • Practical knowledge of UKLA Listing Rules, the local regulatory framework and MAR
  • Proficient using Microsoft Office, specifically Word, Excel, Outlook, Abode
  • Familiarity with a company secretarial software package such as Board Intelligence and Virtual Boardroom
  • A practical understand of how to use Viewpoint or a similar software would be advantageous
