Company Secretary Assistant in Financial Services

Salary: £30,000- £40,000

Experience required: 1-2 years with shares and FS experience

Reporting to: Deputy Company Secretary

An impressive Insurance Company is seeking a Company Secretarial Assistant to join their team of 7. This role will be involved in the day to day running of the secretariat, as well as being instrumental in the share-plans. This includes liaising with shareholders and working with senior directors. The team is progressive, and this is an additional hire to the team in their growth and development.

The Role

  • Assist in the arranging of board and committee meetings including board paper production and following up on board action points
  • Attend and minute non-regulated subsidiary board or committee meetings
  • Liaise with and manage Divisional overseas entities regarding their statutory records, filing and regulatory requirements
  • Assist in the management of Group and Divisional subsidiary share transactions including drafting and issue of documentation to shareholders, transfer and allotment of shares and share-related reconciliations
  • Assist in M&A activity, Group-wide projects, and ad hoc matters
  • Act as the project co-ordinator for various shares related projects, including but not limited to, the Internal Share Offer, the various Incentive Share Schemes, share allotments, share vesting, and share capital increases
  • Liaising and working with shareholders
  • Learn, maintain, and continuously expand knowledge of Diligent Entities and other sources including MS excel spreadsheets
  • Ensure accurate and consistent processing of share transfers and to perform regular reconciliations


  • ICSA part or fully qualified
  • Experienced within a company secretarial role, ideally in the insurance industry or in financial services
  • Strong MS excel skills essential
  • Competency with share-related technology and technical concepts
  • Diligent Boards experience (or equivalent)
  • Knowledge of existing UK statutory and regulatory legislation
