Senior Company Secretary - Investment Bank

High profile opportunity with leading corporate and investment bank, responsible for oversight of corporate governance and corporate secretarial activities of two regulated boards and their committees. 

Position overview 

Reporting to the Head of Governance, this newly created role will have significant exposure to regional and global senior leadership. In this role you will be Company Secretary to a UK and an Irish board and their committees, acting as primary contact and advisor to the Chairs and boards on their responsibilities, in line with local regulation and the group policies and procedures.

You will support the chairs in ensuring effective board functioning and be responsible for the board and committee administration incl. the preparation, scheduling and organisation of meetings and board packs, minuting of meetings, and preparation of resolutions, certificates, notices and other documentation. Other duties include the appointment and resignation processes for all board directors; board induction and training; board effectiveness reviews; maintenance of legal entity records and oversight of filing of statutory information; overseeing work of junior members of the team. 

Qualification & experience required

This will call for a professional with strong technical and regulatory company secretarial knowledge and excellent board support skills as well as experience of governance projects and working with the regulator in the financial services sector. You will be a Chartered Company Secretary / Governance Professional (ACG (ACIS) / FCG (FCIS)) and have a minimum of 7 years of company secretarial experience. 

Working knowledge of UK financial services regulation is essential as well as strong experience of supporting regulated boards. (Ideal experience from co sec role(s) in commercial / corporate / investment banking, insurance, asset / investment management). 

You will have a proven track record of building strong working relationships with directors and senior stakeholders and have practical experience of supporting complex projects. The role sits in a closely knit team and will require someone who is an excellent team player and who has a hands-on approach. Excellent communication skills are as essential as the ability to prioritise effectively, demonstrate great attention to detail and work proactively.
