Assistant Company Secretary - FTSE250

Newly created Assistant Company Secretary role in a Blue Chip FTSE250 Premium Listed company with a market capitalisation of approximately £1.8bn. 

Job Summary

To assist in providing a broad secretariat service including statutory record keeping, Companies Act, Listing Rules, MAR and DTR compliance, together with year-end procedures, share plans and ad-hoc projects.

Areas of responsibility include:

  • Contributing to the drafting of the Annual Report
  • Collation of data on subsidiaries for the Annual Report
  • Assist with compliance with company law, the Listing Rules and DTRs, the City Code on Takeovers and Mergers, the EU Market Abuse Regulation, GDPR, PRIIPs Regulation and SEC securities legislation
  • Statutory documentation/files and GEMS database, including the possible migration of the statutory database to another platform
  • Providing assistance with the AGM and associated documentation
  • Maintenance of insider lists and permission to deal, including assistance with the successful implementation of electronic system
  • Drafting and releasing RNS announcements
  • Administration of the Company's performance share scheme and deferred bonus plan, including assistance with the development of a new share plan database and portal
  • Day to day liaison with our Share Registrar
  • Preparation of subsidiary board minutes
  • Maintenance of Group Structure Chart
  • Assist with preparation of corporate documents (power of attorney etc.)
  • Voting on investor company shareholdings
  • Liaison with the Company's insurance brokers and assist with annual insurance renewals
  • Maintain share certificate register for unquoted investments and head office subsidiaries

The Individual

  • ICSA Finalist or fully qualified
  • Strong interpersonal skills required including tact, integrity and confidentiality
  • High quality written and verbal communication skills
  • Solid academic record
  • A keenness to embrace new technology and keep abreast of latest developments
  • Strong technical company secretarial skills and experience, with a willingness to learn and develop new skills
