Company Secretary – Investment Trusts

We have just been appointed to search for a Company Secretary to join the Company Secretarial team of a specialist investment management firm. Working closely with two experienced Company Secretaries and a chartered accountant, you will be responsible for monitoring regulatory requirements and the administration of premium and AIM listed investment trust companies. Ideally, you will be a chartered governance professional with some investment trust or financial services experience.

Key Role and Responsibilities

  • Ensure compliance with regulatory requirements, including following AIC guidelines where appropriate
  • Provide the board with how the conduct best practice of corporate governance
  • Co-ordinate, plan and produce Web Reports, Half Year Results Announcements, Annual Reports and Annual Financial Results for printing and distribution to Shareholders, providing content requirement advise where necessary
  • Prepare, produce and collate the board papers for distribution prior to meetings, through use of Diligent Boardbooks
  • Attend all Board and Committee meetings taking minutes
  • First point of call for directors’ meeting their requirements, within the terms of the IMA and interests of Shareholders
  • Assist head of department to provide resource to investment trust boards

Experience and Qualifications

  • ICSA Qualification or near qualified
  • Previous investment trust experience preferred but not essential
  • Excellent written and verbal communication to liaise with people across all levels 
  • Profound Microsoft office knowledge Microsoft Word and Excel, as well as Diligent Boardbooks and Adobe InCopy/CtrlPrint desirable but not essential

  • Excellent attention to detail and proof-reading ability
  • Can work on own initiative with a proactive mentality
  • Well rounded team player, able to adapt within the role willing to take on new tasks
