Our client, a highly regarded professional body, is looking to hire a Corporate Governance Manager to support their small and effective team of four. Reporting into the Governance Director, this position requires someone confident, decisive and proactive with a ‘can-do’ attitude in providing a highly professional, quality service across a full range of Governance activities. Ideally you will have strong experience of attending meetings, but this isn’t required.  An excellent working knowledge of meetings processes and governance frameworks within a not for profit environment is a must however.  Key Role and Responsibility

  • Manage relationships effectively to work with stakeholders at all levels of the organisation.
  • Take full responsibility for the delivery of an effective corporate governance service to a number of the organisation’s Committees, ensuring that agendas, papers and minutes are prepared in a timely and accurate manner, and that the work of the Committees supports delivery of the organisation’s business priorities.
  • Draft governance related documents, including annual reports on Committees’ work and policies.
  • Provide considered and reliable advice and support to Officers, Board and Committee members on governance matters as required.
  • Supporting the appointment, induction and training of new members of the Boards and Committees.
  • Supporting the delivery of successful AGMs.
  • Take part in organisational governance reviews.
  • Be inquisitive in generating opportunities for improvement in ways of working, and lead on implementing these when agreed.

Experience and Qualifications

  • ICSA fully or part-qualified (or equivalent).
  • Previously worked as part of a UK Governance team in the not for profit sector.
  • Prior experience managing and supporting Board and Committee meetings.

  • Can communicate confidently verbally and written.
  • Able to be an adaptable and collaborative team player.
  • Take full ownership and accountability for tasks, whilst being able to ask for advice is needs be.
  • Show a passion and enthusiasm for a specific issue/market.
