Company Secretarial Assistant

The Group incorporates 17 subsidiary agencies, spanning digital consultancy, digital content, marketing, data insights, PR, technology, marketing software, market research, public affairs and policy communications.
Owing to continued growth, we currently have an opening for a Trainee Company Secretarial Assistant with a genuine interest in corporate governance to join our London Bridge Head Office, supporting the Deputy Company Secretary.
About the Role
As a newly created position in the in-house team, this role presents a fantastic opportunity to gain exposure to the full breadth of company secretarial responsibilities within a fast-growing international Group. Alongside regular exposure to senior management in a fast-paced Head Office environment, you’ll have ample opportunity to work with Group colleagues in the US and internationally, and to develop your career at pace.
Reporting to the Deputy Company Secretary, your core responsibilities will extend to:
Statutory Compliance
  • Updating and maintaining the statutory registers of our UK companies on Blueprint.
  • Preparing and submitting statutory filings to Companies House via Blueprint.
  • Updating head office records of our international entities following quarterly audits by local agents.
  • Arranging subsidiary Board approvals and execution of documents by Group subsidiaries.
  • Maintaining hard copy files of original documents and the Group entity structure chart.
  • Drafting subsidiary board and shareholder resolutions such as resignations, appointments, share allotments and company dissolutions. 
Corporate Governance
  • Support the drafting of our Annual Report and Notice of Annual General Meeting (AGM), as well as AGM preparations;
  • Supporting the preparation and release of routine RNS announcements, ensuring all internal controls are observed and deadlines are met;
  • Assisting with preparation of electronic Board and Board Committee packs;
  • Updating the corporate governance content of the Group website.
Share Schemes & Admin
  • Assist in share scheme administration including preparation of board minutes, share certificates and documentation for awards and exercises.
  • Promptly deal with administrative tasks including filing and scanning.
About You
The nature of this position makes it ideally suited to a smart, detail-orientated and well organised individual seeking to kick-start their career in corporate governance. The successful candidate will demonstrate a good understanding of and a commitment to the company secretarial profession and a grasp of the routine procedures, gained through a law or business degree or previous experience. In addition, you should be:
  • Numerate with strong computer literacy including MS Office Suite (Word, Excel, PowerPoint);
  • Able to work consistently and effectively in a fast-paced dynamic environment;
  • Able to work independently and own several tasks to completion simultaneously;
  • Able to plan year-round events and follow up on key actions;
  • Well organised and precise with strong attention to detail;
