We have a vacancy for a senior client manager focusing on share plan management, administration and trustee services.

Job description

The role would suit a confident and well-organised individual, ideally an ICSA qualified Company Secretary, with experience at a senior level operating both tax advantaged and non tax advantaged employee share plans for private and smaller listed companies in the UK, including companies listed on AIM or similar markets. Advice and support is given to our clients throughout the plan lifetime from implementation to closure on a corporate event. Experience acting in a trustee role would be preferred.

The candidate will be the main point of contact, and have overall responsibility for, a number of long term private company and AIM listed clients with a variety of active employee share plans, including employee ownership trusts. The role involves providing advice on the design, implementation and day to day operation of share plans, and includes relationship meetings with clients at director level. In particular, the candidate will be required to act as a director of the RM2 trustee company, including attending trustee meetings and minuting decisions appropriately. In addition, the candidate will provide company secretarial support to The RM2 Partnership Ltd, including maintaining statutory registers and attending board meetings. The role is supported by our experienced team of share plan administrators.

Role & Responsibilities

Client Management

  • Act as the main point of contact for, and have overall responsibility for a number of long-standing clients that have a variety of employee share plans and regular activity
  • Carry out relationship meetings with clients (generally dealing with directors, owners, Finance Director, Company Secretary)
  • Valuation of private company shares
  • Draft employee share plan documents, including option and award agreements, plan rules and communications
  • Advise on and deal with client share plans at the time of sale, investment, or similar exit event

Operational and Admin

  • Provide support to the operations team on various share plan administration and operational queries, including relating to shares listed on a market, buying and selling shares through a broker, share option exercises and employee leavers, interpretation of share plan rules, share transfers, HMRC practices and trust administration
  • Responsibility for maintaining client statutory share registers and share registration practice

Company Secretarial

  • Maintain the statutory registers for the RM2 companies
  • Preparation of minutes of board meetings

  • Consider and make decisions with other RM2 trustee directors relating to SIP and EBT transactions, acting in the best interests of beneficiaries
  • Signatory on SIP and EBT bank accounts

Person specifications

  • ICSA qualification
  • UK employee share plan management and administration experience
  • Knowledge and experience of maintaining statutory share registers and share registration practice
  • Experience of buying and selling shares for the purpose of employee share plans via a broker, and dealing with shares for employees who leave and/or options being exercised
  • A good technical working knowledge of tax advantaged and non-tax advantaged employee share plans in particular Share Incentive Plan, Enterprise Management Incentives, Employee Benefit Trusts and Employee Ownership Trusts
  • An understanding of relevant tax legislation and principles of accountancy for share plans
  • Strong communication skills, project management skills and attention to detail
  • Ability to work within a team
  • Discretion when dealing with confidential information
  • Ability to prioritise and multi-task

The ideal candidate would also have experience of the following:

  • Acting as trustee, or director of a trustee company, in the context of employee share plans
  • Knowledge and experience of the operation of an employee share plan data management system, e.g. Sharetrack, Blueprint
  • Agreeing valuations in private company shares with HMRC for the purposes of employee share schemes
  • Reviewing and drafting documents e.g. share option agreements, plan rules, shareholder written resolutions, employee communications


RM2’s office is in New Malden, Surrey (20 minutes from London Waterloo). This is envisaged as a full-time, office-based post. It's a friendly office and employees are given a high level of autonomy.
