Ensuring effective board governance is a key role for the company secretary. In this seminar we covered two current topics in this area:
1. Board effectiveness reviews – boards are familiar with undertaking some form of evaluation due to various codes and good practice requirements. We will look at the current trends on measuring board effectiveness and some of the emerging themes that we continue to see; providing tips and guidance for boards and company secretaries to consider when embarking on their next review
2. Culture – the role of the board is changing and boards are now expected to help shape, oversee and monitor culture. Tackling these responsibilities in the boardroom is a challenging task. Our team will share insights into good practice in this area and practical suggestions to consider.
Speakers for the event:
- Colm McDonnell – Colm leads the Risk Advisory practice in Deloitte Ireland specialising in corporate governance, security risk, regulatory and control assurance and consulting assignments. The Risk Advisory practice provides a large range of assurance and risk assessment projects and is the designated outsourced internal auditor for a number of clients. Colm co-leads our Centre for Corporate Governance and has experience leading board effectiveness reviews and large governance projects.
- Melissa Scully – Melissa co-leads the Deloitte Ireland Centre for Corporate Governance. She specialises in Board effectiveness and corporate governance across all industries, and brings insight into the challenges facing boards and directors. Her clients include large corporates, financial services institutions and public sector organisations. She has delivered over 75 Board effectiveness and governance engagements across Ireland and Europe to include: conducting independent board effectiveness reviews, providing advisory support for companies going through IPO, developing governance policy frameworks and designing governance structures and processes.
