In order to incorporate a company a form A1 should be completed and provided to the Companies Registration Office (‘CRO’). This will set out details such as the activity which the company will be involved in, the address of the company’s registered office, the company name, director and secretary details, a statutory declaration of compliance with the Companies Acts (1963–2013) and details of the subscribers and their shares.

Once the form A1 has been completed, it should be sent to the CRO together with the following:

  • Memorandum of association, which has been signed by the subscribers and witnessed by a third party
  • Articles of association, which has been signed by the subscribers and witnessed by a third party
  • Letter of association, if required
  • Letter of no objection, if required
  • Form G5, if required
  • Registration fee.
