A company is obliged to file an annual return (‘AR’) or form B1 with the Companies Registration Office (‘CRO’) every year. It is necessary for an AR to include the following information:

  • Company name and number
  • Date the return is made up to
  • The financial year of the accounts
  • Audit exemption (if necessary)
  • Auditor registration number
  • Presenter’s details including name and address
  • Address of company’s registered office and/or other relevant addresses
  • Name and address of the company secretary
  • Details of any political donations (Please note that the Electoral Amendment Political Funding Act 2012
  • reduced the amount threshold for disclosure of political donations made by a company on an AR with effect from 7 November 2013. The threshold for this disclosure has been significantly reduced from €5,079 to €200. Companies are required to disclose all political donations in excess of €200 in the aggregate which were made by the company during the period covered by the AR.)
  • Details of the company’s share capital, debentures and shareholders
  • Details of the directors, including details of all directorships held.
