The role
The Associate Director, Corporate Governance duties include leading the Company Secretary function at Allergan’s headquarters, managing the corporate governance of Allergan’s ex-US subsidiaries, providing advice on compliance with Irish statutory and regulatory governance requirements and acting as the corporate governance liaison for Allergan’s finance functions.
Irish Company Secretary duties
For Allergan’s Irish subsidiaries, lead the following functions:
Leading and arranging board meetings, annual general meetings and any extraordinary general meetings.
Facilitating payment of shareholder dividends.
Providing compliance advice to Allergan on Irish corporate governance rules, filings and practice.
Managing and certifying annual returns.
Maintaining company registers and corporate books and records.
Preparing and making CRO filings.
Irish compliance advice
Act as governance liaison for Allergan’s financial functions (including tax and treasury), advising on corporate governance compliance matters including tax restructurings, dividend payments and intercompany agreements.
Parent company support
Provide on-site support for quarterly board meetings, annual general meeting and any extraordinary general meetings for Allergan plc.
Subsidiary management
Work with outside vendors and local country managers to manage the corporate governance of Allergan’s non-Irish and non-U.S. subsidiaries, including:
Ensuring that board, shareholder and special meetings are held and appropriately documented.
Ensuring that annual reports and/or statutory accounts are timely filed.
Coordinating with local offices on ad hoc changes (e.g., director and officer replacements, share capital increases).
Maintaining corporate books and records in compliance with local law.

Education and Experience
Solicitor with at least 5 years of company secretarial experience, or qualification by Institute of Chartered Secretaries and Administrators (ICSA) as either an ACIS with at least 8 years of company secretarial experience or as an FCIS
Third level degree
