What is happening in the funds market?

Our speaker for the event was Andrew Boyce, Partner at Carey Olsen (Guernsey) LLP. Andrew gave a general update on goings on in the Guernsey fund market and looked at general trends in the industry, new and innovative products/funds and any new practical issues affecting company secretaries and their functions.

Revision of Laws Project

Date: Wednesday 18 September

We were given an overview and update on the Revision of Laws Project by Charisma Lyall, Deputy General Council of the Guernsey Financial Services. She also provided an update on other proposed changes to legislation under the Regulation of Fiduciaries, Administration Businesses and Company Directors, etc. (Bailiwick of Guernsey) Law, 2000 and the Protection of Investors (Bailiwick of Guernsey) Law, 1987.

ICSA Guernsey Annual Conference 2019

The 2019 Guernsey Annual Conference had a theme of ‘building board resilience’, highlighting the importance of having an effective board that is fit for the future and can champion good governance practices, not just among the Crown dependencies, but on the global stage.

Delegates benefited from practical workshops and a number of expert speakers and practitioners on topics including: anti-money laundering, ESG investing, board dynamics and emerging technology.

Next Generation Governance CPD Event

This session explored ICSA’s latest research findings on millennial perspectives on governance.

Future corporate governance landscape in the UK

Edward Craft is a corporate governance specialist and provided an overview of the future corporate governance landscape in the UK for all types of companies. He focused on the changes to the Alternative Investment Market (AIM) rules which now require AIM companies to apply a recognised corporate governance code.

Edward offers a unique perspective as he was the person responsible for the recent 2018 QCA Code, as well as its predecessor from 2013.

Offshore topical tax developments

Martin Popplewell, Tax Director at Deloitte, gave a roundup of topical tax developments and how they impact offshore organisations. This included consideration of various tax transparency initiatives as well as ongoing substance requirements in light of EU developments.

Private Client Governance: Succession planning structures for the internationally mobile

Date: Wednesday 13 June 2018

The session focused on cross border succession and tax issues in an international context, with an emphasis on wealth structuring and the use of trusts and corporate vehicles. We also discussed family governance issues and ways in which lifetime planning can be used to mitigate the risk of a family dispute arising.

Our speaker for the session was Kyra Motley, Partner at Boodle Hatfield. Kyra will lead you through practical examples, covering the structuring of family business assets as well as PTC and Foundation structures to facilitate family governance.

Special meeting on proposed Charter and byelaw changes

ICSA members and students in Guernsey were invited to a special briefing meeting on the progress of current Institute reforms, and to participate in a consultation on a second proposal for Charter and byelaw changes to be presented at the global Institute’s AGM on 19 September 2018.

Simon Osborne FCIS, CEO of the ICSA UKRIAT division, and John Heaton, President of the ICSA UKRIAT division, updated attendees on the introduction of the new qualifying programme syllabus, affiliated membership and the new designation of chartered governance professional. They also sought your views on the International Council proposals to build on these innovations, including a new name for ICSA. You can read more about the proposals here

Managing Risk, Leading Change: Guernsey Conference 2018

This year's Guernsey conference took on the theme ‘Managing Risk, Leading Change’ and reflected the bold role that Guernsey can play in the governance environment. The conference revealed the new agenda for ICSA: The Governance Institute and explores themes arising from the upcoming changes to the UK Corporate Governance Code.

The future of professional education and the impact of Brexit on Guernsey

ICSA Guernsey had a double panel session CPD meeting on Monday 19 March.

Andy Godfrey, Neill McWilliams, Simon Le Tocq and Frank Bush explored the future of Professional Education.

Andrew Mackinlay and Jo Reeve followed with a discussion on the impact of Brexit on Guernsey.

The meeting closed with a drinks reception at 6.30pm and a chance to network with peers.

Pensions and Terminal Gratuity Schemes for Middle Eastern Clients – A Real Opportunity for Guernsey

We were joined by Angela Calnan, Group Partner at Collas Crill, who talked about Guernsey's new 2017 rules in relation to our pensions industry. 

In the session, Angela outlined what pensions and gratuity schemes are for those who are new to this area. She then went on to explore what the new rules mean for trustees and administrators who currently look after pensions in Guernsey. She then wrapped up by highlighting why Middle Eastern companies, in particular, are using Guernsey to structure the pensions arrangements for their staff.

Managing Boardroom Tension

How can company secretaries guide their boards away from harmful conflict and harness healthy tension to achieve better outcomes for their organisations? 

Delegates learned about the recent collaboration between ICSA and Henley Business School, which explores how conflict and tension can be managed to produce better board dynamics. 

The 'Conflict and Tension in the Boardroom' report offers a set of principles to guide boardroom practice, alongside insights that chairmen, directors and company secretaries can use to make their boardrooms places of  collaboration, as well as of challenge and independence. 

Peter Swabey FCIS, Policy and Research Director at ICSA, ran through the key findings and recommendations from the report.


Lessons in Corporate Governance

Date: Friday 12 September 2017

A talk by Advocate Mark Dunster who spoke from first-hand experience of seeing how clients can get things wrong. This seminar examined certain Guernsey cases regarding local finance businesses (suitably anonymised) and discuss how your organisation can avoid the mistakes made by other local companies. The one hour session provoked discussion and helped to identify any weaknesses in your corporate governance policies and procedures and determine what action is required to avoid the possibility of future litigation.

Simon Osborne FCIS, CEO of the UK, Republic of Ireland and Associated Territories division, and John Heaton FCIS, President of the UK, Republic of Ireland and Associated Territories division, outlined the strategic drivers for the proposed changes, and what they would mean for you. They will also answer any questions that you have and look forward to hearing your views on these issues.

Minute Taking Seminar

Taking minutes of meetings is administrative good practice. It creates a record of what has been agreed, and by whom; and of what is to be done, by when and by whom. This session looked at ICSA’s recent minute taking guidance, including background on the public consultation findings which led to its development.

Fiduciary Update CPD Event

Attendees joined us as we reflected on the key cases and trends relevant to Guernsey trustees of 2016, looking ahead to the trust work that we also expect to see in early 2017. 
Presented by Angela Calnan, Group Partner at Collas Grill, we also further explored this year’s activity into the key practice points for trustees to keep in mind when administering structures.

About the speaker:

Angela heads both the multi-award winning fiduciary practice group (STEP Legal Team of the Year (midsize) 2015/16) and the Middle East Practice Group, and is regarded as the "go to" lawyer in Guernsey for Middle East private client work and for foundations.

Guernsey Annual Dinner and Awards

Date: Friday 11 November 2016 
Venue: The Old Government House Hotel, St Ann's Place, St Peter Port, Guernsey, GY1 2NU

Around 100 guests enjoyed a 3 course meal, followed by a though provoking, interactive and entertaining talk by guest speaker, Richard Mullender, on the skills for listening and extracting information. Following the formal presentation of the awards, guests were then able to try their luck at the casino. 

About the Speaker

The speaker for this year’s event was Richard Mullender. After military service and time in the private sector, Richard joined the Metropolitan Police as a Detective investigating serious crimes. Richard then trained to become a hostage negotiator, whereby his skills were so highly regarded he was appointed Lead Trainer at Scotland Yard’s National Hostage and Crisis Negotiation Unit.
