The ICSA Ireland Conference is the largest annual event for company secretaries and governance professionals in Ireland.

As change and uncertainty seems inevitable over the coming months, company secretaries and governance professionals must develop their own skills and knowledge in order to help guide boards through potentially turbulent times. This conference aims to provide delegates with the tools to approach the coming year with confidence and an opportunity to reflect upon the value of governance.

Strategy Case study

Our speaker will trace the evolution of a financial services company from a start-up, Gandon Securities, in 1987 to Investec Ireland which employs over 240 people today. This journey included navigating a proprietary trading business to a fund management business, and subsequently getting Investec to come to Ireland in 2000. The company has had to weather many storms, adapting strategy through financial crises from Black Monday in 1987, the introduction of the Euro in 1999 and the banking crisis in 2008. Our speaker will guide us through many illuminating lessons about change management and culture, as well as an honest review of the hiccups they have had along the way.

Eyes wide closed: learning from governance failure

In 2013 it emerged that salaries of senior executives at the Central Remedial Clinic were being topped up with charitable funds. As a vital national charity, the scandal had a devastating effect on the reputation of the CRC and on the charitable sector as a whole. Since then, there has been considerable pressure from the government and the public to improve regulation and standards of governance across the sector. In this session we take a look at the CRC’s journey, including the governance failures that contributed to the scandal.

This session provides a unique personal perspective of a global cartel and the subsequent investigation. Hear an engaging account of the events including the dawn raid, DOJ tactics, plea agreement and life inside.

Enhanced ownership transparency rules now mean that UK companies must file, create and maintain a register of persons of significant control (PSC) with Companies House. Irish companies now face similar requirements and since November 2016, must create and maintain a register of their ultimate beneficial owners (UBOs). Here we look at the practical steps for both UK and Irish companies in identifying their PSC or UBOs, the obligations to keep the required registers up to date and the differences between the two jurisdictions.

Deputy Head of Risk and Policy, Central Bank of Ireland

Camille leads the Policy and Risk Horizontal team at the Central Bank of Ireland. She commenced that role in December 2015. She is a lawyer and economist with expertise in regulation of financial systems and has a particular interest in governance and innovation. Camille has been working in financial services roles for more than 15 years in both the commercial sector and government. She joined the Central Bank from her role as a principal advisor to the Australian Treasury on the Australian Financial System Inquiry. She has also been global head of compliance for one of the largest institutional banks in Australia, managing teams in Asia, Europe, Pacific and the US. She was Head of Investment Banking at the Australian Securities and Investments Commission during the financial crisis.

Michael is CEO of Investec in Ireland, a Specialist Banking and Wealth & Investment Management business with 230 employees overseeing a business concentrating in Treasury Products, Corporate Finance, Institutional Equities, Prime Brokerage activities, Private Bank and Wealth & Investment.
Michael has over 35 years’ experience in the Financial Markets having held senior roles within ICC and Citibank. In 1987 Michael was one of the founding directors of Gandon Securities which, having raised $50 million from Irish and International institutions, became the first institution to get a licence to operate from the IFSC.
As CEO of Gandon Securities, Michael moved the business from a proprietary trading entity to a funds management, structured finance and customer foreign exchange business. In April 2000 Investec purchased Gandon and commenced operation as a branch of Investec Bank plc with Michael as CEO. In 2012 Investec purchased NCB, a leading Stockbroker and Wealth Manager.
Michael graduated with a Masters in Business Studies from UCD and is Fellow of the Institute of Chartered Accountants in Ireland. Michael is a Non-Executive Director of The Irish Stock Exchange Plc.

World Champion Boxer, TV & Radio Broadcaster and Author

Bernard is a retired Professional Boxer. He is a former WBA Super Bantamweight World Champion and also a former European Super Bantamweight Champion. Since announcing his retirement in 2010, Bernard has been a regular face on our TV screens as a popular panellist on RTÉ Sport covering everything from Boxing, Soccer and GAA to Current Affairs.

More recently developed and presented ‘Bernard Dunne's Mythical Heroes’ on RTÉ. Bernard took on the role of the storyteller by delivering the stories of Fionn Mac Cumhaill, Tir na nOg, the Children of Lir, the Tuatha de Danann, Balor, the Formorians, Chu Culainn that have been passed on from generation to generation.

Bernard has become an advocate for the Irish language and set up Bród Club in 2012 which was an ambitious nationwide campaign which aimed to inspire 100,000 people to re-engage with the Irish language. In 2013, Bernard joined the Dublin Senior Football Team as the Sports Performance and Lifestyle coach. And since joining the backroom team, the Dublin Senior Football Team has won 4 league titles, 4 Leinster titles and 3 all Ireland's. They also recently broke the longest ever unbeaten record in GAA history held by Kerry for over eighty years by going 35 games.

Stephanie took up her position in June 2014 and was central to establishing new management structures and robust governance for the organisation. She is leading on a transformational change programme for the CRC culminating in the preparation and production of a strategic plan for the CRC for the next 5 years. Stephanie has worked in health care for over 25 years and has experience in a variety of service settings including the statutory and voluntary sector. She has experience in the Acute, Community, Mental Health, Disability and Not-for-Profit settings. She holds a BSC from Trinity, an MSC from the University of London, and a certificate in change management from the IPA. In 2015 she was awarded the 30% club Scholarship to undertake the Professional Diploma in Corporate Governance with the Michael Smurfit Business School in UCD.

Pat is a Partner in the Advisory – Consulting division in PwC. Pat has over 25 years’ experience in consulting and industry delivering large technology change programmes. Pat has worked primarily in the Financial Services sector supporting retail and corporate banking clients. His primary focus has been on managing risk which includes delivery integration, continuity, cyber and IT governance. He has also worked with Regulators globally and has been responsible for the development of number of IT risk standards and white-papers.

Fiona Muldoon joined the FBD Group in January 2015 as Group Finance Director Designate and was appointed as an executive Director and member of its Board. In October 2015, Ms. Muldoon was appointed as Group Chief Executive. A Chartered Accountant, Ms. Muldoon was Director of Credit Institutions and Insurance Supervision at the Central Bank of Ireland from August 2011 until May 2014. Prior to this she was with XL Group for seventeen years and held a number of senior roles with this NYSE listed Property & Casualty Insurance firm in Ireland, London and Bermuda, including two years as Group Treasurer until July 2010. On 12 June 2015 Ms. Muldoon, was appointed as a non-executive Director of the Governor and Company of the Bank of Ireland.

Salvador Nash is a Director in KPMG Legal Services and is Head of its Company Secretarial practice, the largest provider of company secretarial services of any accountancy firm in the country. A Fellow of the Institute of Chartered Secretaries and Administrators, he serves as Vice President of the Institute in Ireland, is a member of its Governance & Nomination Committee and is Chairman of the Company Law & Regulatory Committee. Salvador also represents the Institute on the Company Law Review Group, the statutory advisory expert body charged with advising the Minister for Jobs, Enterprise and Innovation on the review and development of company law in Ireland.

Maureen was appointed to the roles of Registrar of Companies and Registrar of Friendly Societies in March 2015. She joined the Department of Industry & Commerce in 1991 and has served in the Department of the Taoiseach, the Competition Authority and the Department of Jobs, Enterprise & Innovation. She served in the Companies Registration Office and the company law area earlier in her career and subsequently in a number of senior roles in the Department in the Industrial Relations, Labour Market Policy, Human Resources and Workplace Relations areas. Until her appointment as Registrar Maureen was responsible for the implementation of the Department’s Workplace Relations Reform Programme. She holds a Bachelor of Business Studies degree and Certificates in Public Management and Public Sector Human Resources from the Institute of Public Administration.
