As regulation of financial services continues to tighten and political uncertainty in the UK and Europe creates greater instability in the market, company secretaries and governance professionals in Jersey have an opportunity to take the wheel and be at the forefront of thinking and innovation in governance, risk and compliance.

ICSA’s offshore jurisdiction events are designed specifically for company secretaries and governance leaders. This year's Jersey conference takes on the theme ‘Managing Risk, Leading Change’ and reflects the bold role that Jersey can play in the governance environment. The conference reveals the new agenda for ICSA: The Governance Institute and explores themes arising from the upcoming changes to the UK Corporate Governance Code.

A new agenda for ICSA: The Governance Institute

As governance continues to evolve, ICSA is changing too. This year, we are introducing several significant initiatives to better serve company secretaries and the growing governance community. This session will tell you more about what is changing, why, and how we hope to add lasting value for members, students and employers.

Improving stakeholder engagement

In 2017, the UK Government decided to introduce secondary legislation to further strengthen engagement between boards and stakeholders. ICSA and the Investment Association produced a report on the issue, The Stakeholder Voice in Board Decision Making. This session will draw on themes from the report, using real life case studies and highlighting some innovative approaches to stakeholder engagement.

Conflicts of Interest

Board members are legally obliged to act in the best interest of their organisations, declaring any outside interests that may affect their decision-making. This session will look at what constitutes a conflict of interest and how they can be managed appropriately.

GDPR: the cosec’s role

On 25 May 2018, the EU General Data Protection Regulation or GDPR will come into force. For company secretaries and governance professionals there will be lots to consider: which committees will have responsibility for reviewing the detail and implementation of data protection measures? How often and in what way will this information be relayed to the board? Here, we discuss the key questions at play in complying with the GDPR.

Personal development: improving organisational and individual effectiveness

We all have brains that can make us impulsive, irrational and emotional. Understanding why this is and how to control these functions can help increase focus, reduce stress and connect with people more effectively. Using principles based in neuroscience, organisational behaviour and psychology, our speaker will describe how to apply these to improve both personal effectiveness and better understand the cause of certain behaviours in the workplace.

In December 2017, the Financial Reporting Council opened consultations on what it called, “a sharper UK Corporate Governance Code to achieve long-term success and trust in business”. We take a detailed look at the changes to the Code, what’s driven them, and reflect upon the wider context of governance reform.
