Summer ICSA Yorkshire Event

Date: Monday 24 June 2019

The Yorkshire Branch held its Summer Networking CPD event on Monday 24 June and we were delighted to welcome a number of new faces.

Our speaker was David Venus (Immediate Past President of Chartered Secretaries and Administrators and author of the report 'Futureproofing: Technological innovation, the company secretary and implications for corporate governance')

He gave a fascinating and thought provoking presentation in which he introduced AI and Blockchain technologies. These are already changing the world of work for governance professionals in some organisations, and will impact us all within a few years. Finally, he suggested questions that we should be asking ourselves as governance professionals to prepare. An interesting discussion followed about the implications of what David had introduced.

Winter CPD event

Date: Wednesday 5 December 2018

Horizon scanning

Victoria Rhodes and Faith James of DLA Piper scanned the 2019 horizon to provide a series of pointers that were relevant to company secretaries from all types of organisations:

Victoria covered the impact of the significant changes coming into effect in respect of corporate governance and reporting obligations effective for financial years starting on or after 31 January 2019.

Following high-profile corporate insolvencies in the last couple of years, the Government has proposed strengthening the corporate governance of firms that are in, or approaching, insolvency. Faith highlighted how these proposals might impact on complex group structure, shareholder responsibilities, payment of dividends and directors' duties. The session also considered protection for supply chains in the event of insolvency.

Our speakers also provided a snapshot of other key upcoming legal and/or reporting changes in subjects such as HR; payroll; equality and diversity; gender/CEO/ethnic pay reporting; environment, and health & safety.

Student revision seminar

Date: Thursday 25 October 2018

The agenda for this student revision seminar included exam techniques by Theresa Minnie, ICSA Head of Outreach, and a choice between two sessions led by examiners of the relevant papers:

  • A revision toolbox session on Corporate Governance, revising concepts, use of mind maps, exam techniques and analysing previous exam papers.
  • Financial Reporting and Analysis: the session (i) reviewed the best approach to the compulsory analysis and interpretation question (ii) worked through a recent consolidation question and (iii) reviewed past papers and exam techniques for finance papers.

Attendees also had the opportunity to network informally with other students.

Inclusion & Diversity and the role of the Board

Date: Tuesday 6 November 2018

There has been an increased focus on diversity issues for all companies, whether that is in respect of board composition, or gender pay reporting. This joint session with AWCS, hosted by KPMG Leeds, looked at developments in this area, and also took a further look at inclusion issues, such as why disability should be on the board agenda. Finally, the session looked to debate what the profession can do to move disability further up the governance agenda.

David’s expertise is in Money Laundering & Asset Recovery and he gave us an insight into how organised crime groups launder money and what businesses can do to protect themselves against this.

We are delighted that Jai has agreed to provide an overview of what is happening in the share registration and employee share plans industries. He discussed what is coming in relation to regulatory change and how the ICSA Registrars Group are managing these challenges. Jai provided an update on Link Asset Services following its acquisition of Capita Registrars Limited and how they too are helping its issuer clients and other stakeholders overcome some of the regulatory hurdles and future planning needs to meet shareholder and investor expectations.
