About us

The Swindon Network was created to help coordinate the sharing of information and best practice between members in the area and to help facilitate member networking.  The network aims to provide continuing professional development and networking activities as well as support to the Institute's students. It also operates as a forum for members to share experiences and ideas, as well as a wider business forum for like-minded professionals in the Swindon area who share an interest in good corporate governance.

Madeleine Cordes, Company Secretary Risk Transfer Group Limited

Madeleine has had a successful career over 30 years in industry and professional services as a company secretary, director of corporate services and manager of small and large teams including working offshore and in many different sectors. She recently won an award in the Team Leader category as one of the Governance Hot 100 organised by recruitment firm DMJ.  Throughout her career she has been passionate about supporting students and trainees through on the job training, mentoring and working with the ICSA at their student events. She relaunched the Cayman Islands ICSA branch and introduced an in house evening class for the offshore ICSA certificate. Madeleine has helped develop technical and soft skills, knowledge and careers of her team members at all levels and designed and delivered introduction to company secretarial practice and effective minute taking courses, coaching 100s of attendees over a number of years. She re-trained as a music teacher and talent manager in 2010 and alongside her work as Group Company Secretary of an independent insurance broker her small business helps young people achieve their potential in performing arts.

Derek Lewis LLB, FCIS, Company Secretary Grosvenor Britain & Ireland

Derek has been Company Secretary of Grosvenor Britain & Ireland, the UK real estate business of the Duke of Westminster, since April 2018.  He is a commercially orientated, career Company Secretary, with over 30 years of Corporate Governance experience, primarily in the Financial Services Sector - Banking, Insurance, Asset Finance, Investment & Asset Management, Financial Markets and Real Estate; having previously worked for Aviva Investors, Santander, AXA, RBS/NatWest and Willis. He also has experience of FCA/PRA Compliance, Pension Scheme Trusteeship, Risk Management, Mergers & Acquisitions and Change Management.  In his spare time he plays basketball (and is a qualified coach), is a school governor, a keen cook and enjoys travel.

Liz Lynxwiler, Deputy Company Secretary St.James’s Place plc

Liz Lynxwiler is currently a Deputy Company Secretary at St. James’s Place plc.  Liz has worked in financial services for nearly 20 years, holding roles at BNY Mellon International, Legal & General, and the Royal Bank of Scotland.  In February 2020, Liz was named on the Governance Hot 100 as a ‘Governance Trailblazer’.  A Florida native, Liz spends a good deal of her spare time explaining why she moved from the Sunshine State to the UK.

Trevor Williams, Deputy Company Secretary Imperial Brands PLC

Trevor is a fellow of the institute with over 30 year’s company secretarial experience gained in both small family run businesses and FTSE companies.  He has been involved on setting up company secretarial departments following privatisations and demergers.  In addition to company secretarial work he has also considerable experience in operating share plans.

Trevor also spent 13 years as a school governor, were he gain experience of governance within the education sector and as chair of the personnel committee obtained considerable experience of recruiting and interviewing teachers at all levels.

Companies House: The changing role of the Registrar

The Department for Business, Energy and Industrial Strategy has recently consulted on proposals to reform the Registrar of Companies – consultation document.  The proposals, if pursued, will represent the biggest shift to the company law framework, and to the role of the registrar, since 1844.

Arguably, these reforms would mean a move for Companies House from “register” towards “regulator”, and provide a new role for the registrar as a key player in the fight against money laundering and economic crime.

This session will look at the changing role of the registrar of companies as a result of a number of significant legislative changes currently in development.

Boardroom dynamics and how to influence them

Date: Monday 8 June 2020

Dr Jeremy Cross covered an introduction to Boardroom Dynamics – why it is growing in recognition, what it is and how a governance professional might positively influence it.  Jeremy has written the Chartered Governance Institute’s qualifying module syllabus and course text on Boardroom Dynamics and discussed the characteristics that make for a healthy board and what needs to be considered when trying to improve board dynamics.

Growth Mindset: Change your mindset … change your life

Date: Thursday 28 November 2019

This session explored how to change the way you think to fulfil your potential.

Kevin Minton, Leadership Development Manager at Nationwide, explored research which suggests that people with a growth mindset – a belief in their brain’s ability to learn and adapt – are more likely to persevere with challenges, seek out ways to improve and be resilient in the face of setbacks.

Kevin was joined by Lesley Ward, Branch Liaison and Mentoring Manager at the Institute, who spoke about the benefits of having a mentor/being a mentor via the the Institute's mentoring scheme.


Next Generation Governance

Big forces are reshaping what it means to be a governance professional in the 21st century – from technological change to environmental concerns and new attitudes to the role of organisations in society.

During this session Peter Swabey, Policy & Research Director, explored the Institute’s latest findings on millennial perspectives on governance.


Staying ahead: What governance professionals need to know

Date: Tuesday 10 September 2019

Tracy Gordon from the Deloitte Centre for Corporate Governance in the UK provided an update on the latest corporate developments and best practice for boards. Tracy covered the Government’s legislation on corporate governance reform, the FRC’s new 2018 UK Corporate Governance Code and other recent guidance. She also discussed corporate reporting and governance hot topics with time for questions at the end.


The Cutting Edge Company Secretary

Date: 16 May 2019

This session looked at how boards’ expectations of the company secretary are changing. From AI to EI; innovation to influence; creativity to crisis management, the talk focused on emerging trends that are shaping the role and how company secretaries can upgrade their skills to remain relevant in changing times.


Workforce and Stakeholder Engagement

Date: Thursday 21 March 2019

In this interactive session, Jayne Meacham FCG from Link Asset Services discussed the workforce and stakeholder engagement implications of the new Corporate Governance Code, Miscellaneous Reporting Regs (s.172) and Wates Code.


How far has the corporate world come in terms of diversity and inclusion? 

Date: Tuesday 22 January 2019 

The Swindon Network held our first CPD event of the year on Tuesday 22 January 2019.

There has been an increased focus on diversity issues for all companies, whether that is in respect of gender, ethnicity or disability.

Our speaker David Gracie, Director - Head of Global Entity Management Services at KPMG, looked at developments in this area, with a focus on changes to the Corporate Governance code and how this impacts effective decision making at board level.

Attendees joined us afterwards for an informal dinner at Pizza Express, which was a great opportunity to network with other Company Secretariat professionals based in/around the Swindon area.


Christmas Social

The Swindon Network invited you to informal drinks on Thursday 29 November, to kick off the festive season and celebrate a memorable 2018.

This event provided an excellent opportunity to catch up with colleagues, make new connections and share your professional experiences as the year comes to a close.

For those who wished to also eat, drink and be merry, we invited you to join us at a local restaurant afterwards to socialise and network with like-minded professionals.

Autumn CPD Meeting

Date: Wednesday 5 September 2018

The Swindon Network invited you for our first meeting after the summer holidays, which took place on Wednesday 5 September 2018. 

We were joined by Sharon Pickford, Membership Director at the National Trust. Sharon talked about what is special about the Trust and why people want to visit, join and stay. This touched on how the Trust inspires people to become members, how their loyalty is retained and some of the challenges the Trust is facing in this area of its work. 

After the formal meeting, we invited you to join us at Pizza Hut to socialise and network with like-minded professionals. Guests, non-members and students were welcome. 


Special meetings on proposed Charter and byelaw changes

Peter Swabey, Policy and Research Director of The Chartered Governance Institute, updated you on the introduction of the new qualifying programme syllabus, affiliated membership and the new designation of chartered governance professional. They also sought your views on the International Council proposals to build on these innovations, including a new name for the Institute. You can read more about the proposals here

Peter Swabey FCG, Policy and Research Director, outlined the strategic drivers for the proposed changes, and what they would mean for you. He also answered any questions that you had and enjoyed hearing your views on these issues.


Swindon Branch Meeting

This CPD event featured a round table discussion led by David Gracie, KPMG and Essex branch Chair, on current hot topics such as good subsidiary governance. 


Cyber Crime CPD 

Date: Tuesday 25 October 2016

Presented by Russell Price, Chair of the Continuity Forum, this event covered the effects of cyber crime on both individuals and businesses, and measures that can be taken to prevent it.


Minute writing and what happens if you get it wrong

This event followed on from various criticisms from Regulators around the evidence provided by minutes in supporting the decisions made by a Board when reviewed in hindsight (i.e. with 20/20 vision).

Peter Swabey, Policy and Research Director at the Institute, gave us an insight into the criticisms of minute taking, whilst building on the recent Institute Working Party currently on the subject.
