The ICSA Bristol and District Network was established in 2013 to help coordinate the sharing of information and best practice between members in the area, and to help facilitate member networking.

In December 2017 we launched the second annual survey of all members of the ICSA Bristol and District Network. We had 63 people respond to the short survey.

Save the Planet with Climate Governance Principles

Date: Thursday 26 September 2019

CPD: 1 hour

Join us at 6pm on Thursday 26 September 2019 at the offices of our kind host Vistra at 10 Templeback, Bristol BS1 6FL when Dr. Leyanda Purchase will be talking about the Climate Governance Principles.

Stakeholders are challenging companies to demonstrate an integrated, strategic approach to addressing climate-change risks and opportunities.  However, to govern climate risks and opportunities effectively, boards need to be equipped with the right tools to make the best possible decisions for the long-term resilience of their organizations.

Dr Leyanda Purchase is the National Programme and Student Affairs Director for the Academic Master's Programmes in Law at the University of Law. She is also the Academic Lead for ULTRA - The University of Law's Technology Research Academy. Leyanda's academic interests lie in corporate governance and legal tech. At present, Leyanda is researching the impact of disruptive technology on corporate governance theory and practice.

Are boards failing to democratise their employees?

Date: Wednesday 26 June 2019 

You were invited to join us at the offices of our kind host Burges Salmon (One Glass Wharf, Bristol BS2 0ZX). Jayne Meacham FCIS, Associate Director from Link Company Matters (part of Link Asset Services) talked about the workforce engagement implications of the 2018 Corporate Governance Code, Miscellaneous Reporting Regs (s.172) and Wates Code. Jayne also encouraged us to share our own experiences and best practice of workforce engagement generally, as well as looking at examples of trends and emerging reporting on this matter.

 

Share schemes, demographics and the gender pay gap

ICSA Bristol and District Network held a discussion on employee share schemes and how they intersect with more recent developments in workplace demographics.

Gabbi Stop, Executive Director of ProShare and Board Trustee of ShareGift will joined us for a discussion on all-employee share schemes and the rise of the Millennials and in Gender Pay Gap reporting.

This event was another great opportunity to network with other company secretariat professionals from different sectors and backgrounds.

 

Futureproofing CPD Event

Date: Tuesday 26 February 2019

David Venus, Immediate International Past President of ICSA, held a discussion on Futureproofing, a report he authored which acts as an introductory summary on the opportunities and challenges arising from the fourth industrial resolution.

The event was a great opportunity to network with other company secretariat professionals from many different sectors and backgrounds.

 

Why should inclusion and diversity be on the board agenda?

David Gracie, Director Head of Global Entity Management Services at KPMG, spoke about the benefits of inclusion & diversity. There has been an increased focus on diversity issues for all companies, whether that is in respect of board composition, or gender pay reporting. This session  looked at developments in this area, and also took a further look at inclusion issues, such as why disability should be on the board agenda.

 

What are the latest corporate governance reforms?

Peter Swabey FCIS, Policy & Research Director at ICSA, informed us about recent corporate governance changes, including to the UK Corporate Governance Code, their implications for governance professionals and what they mean for the work of your boards. Hear the latest thinking from the ICSA's engagements with the FRC and BEIS, and consider how to anticipate and embrace change in your organisation.

 

Special meeting on proposed Charter and byelaw changes

Date: Wednesday 4 July 2018

John Heaton, ICSA UKRIAT President, and Charis Evans, Business Development Director, updated you on the introduction of the new qualifying programme syllabus, affiliated membership and the new designation of chartered governance professional. They also sought your views on the International Council proposals to build on these innovations, including a new name for ICSA. You can read more about the proposals here

 

What will the Trade Secrets Directive mean for you?

Sean Jauss, an innovative and commercially astute intellectual property lawyer and Partner of Mewburn Ellis LLP, was our speaker for the evening. Sean provides his clients with focused and pragmatic advice on the protection, commercialisation and litigation of their intellectual property and data rights. This talk provided an understanding of the potential, and the risks, of one of the most important yet often overlooked intellectual property assets of a business. 

 

Are you doing the best for yourself, your team and your customers?

Rob Hart, of Manage and Thrive Training, took attendees through simple but effective 'tricks of the trade' to empower you and your team. 

Rob discussed and gave the necessary tools to:

  • understand and achieve goals
  • empower your people to deliver creative solutions, in a timely and efficient manner
  • improve individual and team performance
  • strengthen team culture and enhance retention
  • maintain effective management and leadership
  • keep this going for as long as you want. 
 

Managing Boardroom Tension

Date: Wednesday 10 January 2018

A good board is one that manages tension, while a dysfunctional board allows it to fester and escalate into conflict. 

Those who joined the ICSA Bristol and District Network, heard Peter Swabey FCIS, ICSA Policy and Research Director, talk about Professor Kakabadse’s report on how to healthily manage clashes in the boardroom. 

The Conflict and Tension in the Boardroom report offers a simple set of principles to guide boardroom practice, alongside insights that chairmen, directors and company secretaries can use to make their boardrooms places of harmony and collaboration, as well as challenge and independence.

All participants received a copy of the report.

 

Networking CPD Event

We were joined by Michael Foster ACIS, Chartered Trademark Attorney from Mewburn Ellis, and a presenter from the employment law team of Burges Salmon. 

This was another great opportunity to network with other ICSA and Company Secretariat professionals based in and around the South West from many different sectors and backgrounds.

 

Special briefings on proposed Charter and byelaw changes

Peter Swabey FCIS, Policy and Research Director, and Frank Curtiss FCIS, President of the UK, Republic of Ireland and Associated Territories division, outlined the strategic drivers for the proposed changes and what they would mean for you. .

Though only members can vote in the AGM, all students are very welcome to take part.

 

The General Data Protection Regulation CPD Event

Date: Wednesday 17 May 2017

The speaker for the evening was Marcus Clayden, Associate at Burges Salmon, as he examined GDPR and how it has been designed to synchronize data privacy laws across Europe and reshape the way organisations across the region approach data privacy.

About the speaker: 
Marcus Clayden is an Associate in Burges Salmon’s Technology, Media and Telecoms team. He regularly advises clients in relation to their data protection responsibilities – both in the context of IT services arrangements and standalone compliance issues. Marcus has a wide range of experience in acting for clients in the technology, financial services and utilities sectors (in particular) and has supported large multi-nationals through to UK SMEs on the ways in which they should be handling personal data.

Situational Leadership: Styles and Communication

Date: Tuesday 18 October 2016

Claire Emery, Founder and Director of Emery Support Services, spoke about Situational Leadership and how it can affect a they styles and communications of a business. 

Emery Support is a contracted education specialist for the Department for Education, Open Academies, Free Schools and Brokerage Division. Claire regularly works in partnership with trustees and senior leaders to enable the delivery of the outcomes required to address their specific constitution, context and needs effectively.

 

Network Meeting – The role of the company secretary in preventing value destruction

Many of you will know that Seamus runs his own consultancy business (ValueApha) advising companies on a broad range of governance issues. Seamus is also the former ICSA Policy Director, where he was instrumental in raising the profile of the company secretary community, and strengthening the organisation’s thought leadership and technical output.

This event was a great opportunity to network with other company secretaries based in the South West from many different sectors and backgrounds, kindly hosted by The Unite Group plc in Briston on 26 May.

 

Leadership development for company secretaries – do you have what it takes?

In order to achieve the career transition from subject matter/technical/compliance experts, to being a valued strategic adviser to the board, company secretaries need to use soft skills. This the message of the Bristol & District Network, held in the offices of our kind hosts Burges Salmon, in Bristol on 12 March.

Seamus Gillen, who runs his own consultancy business (ValueApha) advising companies on a broad range of governance issues, addressed governance professionals at the event, and underlined the importance of the need for company secretaries to be effective in the areas that their employers consider business-critical.
